TTC AgriS Chairman transfers 15 million SBT shares

Ms. Huynh Bich Ngoc, Chairwoman of the Board of Directors of TTC AgriS (Hose: SBT) transferred 15 million SBT shares to restructure the investment portfolio and optimize green capital in circular agriculture.

In order to restructure the portfolio and optimize investment activities, on March 11, 2024, Ms. Huynh Bich Ngoc, Chairwoman of the Board of Directors of Thanh Thanh Cong - Bien Hoa Joint Stock Company (TTC AgriS, Hose: SBT) announced the registration to transfer 15 million SBT shares.

The transaction is expected to be carried out in a 100% negotiated manner. The transaction period is from March 14, 2024 to April 12, 2024. The expected buyers are units in the same ecosystem of the Company.

As of March 11, 2024, Ms. Huynh Bich Ngoc is holding 84,265,703 SBT shares, equivalent to 11.06% of the share capital. If the transaction is successful, Ms. Ngoc is expected to hold 69,265,703 shares, equivalent to 9.09% of the share capital. It is known that this transaction is carried out with the purpose of restructuring the investment portfolio, and is part of the capital optimization plan to develop the "green" business strategy of the Board of Directors of TTC AgriS.

Previously, at the 2022-2023 Annual General Meeting of Shareholders held in Tay Ninh, Ms. Ngoc also emphasized: "Sustainable development is a consistent strategy throughout the development journey of TTC AgriS, we take the "Green" strategy as the foundation for development, competitive advantage and provide the market with green energy solutions from clean production", Ms. Huynh Bich Ngoc affirmed TTC AgriS's commitment to "green" business at the 2022-2023 Annual General Meeting of Shareholders.

Nearly 55 years of establishment and development, with the core philosophy of sustainable development, TTC AgriS focuses on exploiting and optimizing the value chain of agricultural crops such as sugarcane, coconut, banana, rice, etc., while researching and developing high value-added agricultural products to diversify product types and meet market demand. With the "green" strategy as the foundation, TTC AgriS orients and comprehensively builds key tasks on solutions - services - technology - sustainable development.

From there, promote the application of the Circular Commercial Value Chain model with the goal of becoming a high-tech agricultural solution provider, participating in the global Food & Beverage value chain, successfully unlocking potential markets and achieving the revenue target of 60,000 billion VND by 2030.

The "green" business strategy and sustainable development have always been the "compass" of TTC AgriS throughout more than half a century of operation. In the 2022-2023 fiscal year, TTC AgriS achieved positive results when net revenue surpassed the billion USD mark for the first time, reaching VND 24,743 billion (~ USD 1 billion), up 35% over the same period and reaching 145% of the annual plan.

At the end of the first 6 months of the 2023-2024 fiscal year, TTC AgriS recorded accumulated net revenue of VND 13,385 billion, an increase of more than 9% over the same period, completing 65% of the annual plan. Accumulated pre-tax profit for the first 6 months reached VND 481 billion, an increase of more than 11% over the same period, completing 57% of the annual plan.

Consumption output in the second quarter recorded growth compared to the first quarter, thereby raising the total accumulated consumption output for the first 6 months to ~640 thousand tons. As of December 31, 2023, the scale of TTC AgriS has also expanded with total assets reaching VND 34,135 billion (~USD 1.4 billion), an increase of 14% compared to the beginning of the fiscal year.
