Blocks XH2 (OXH1) and XH3 (OXH1) of Thuy Van Complex project, phase 2

Hue City Department of Construction received Document No. 12/2025/CV-COTANACAPITAL dated February 28, 2025 of Cotana Capital Real Estate Investment and Development Joint Stock Company (Representative of the Joint Venture of Cotana Group Joint Stock Company - Telin Group Joint Stock Company - Cotana Capital Real Estate Investment and Development Joint Stock Company) - abbreviated as the Investor - on the proposal to be allowed to sell 20% of the social housing floor area reserved for rent at Block XH2, XH3 - OXH1 high-rise apartment social housing area of ​​Thuy Van Complex Project, Phase 2, Area B - An Van Duong New Urban Area and Notice No. 06 and 07/TB dated February 28, 2025 of the Investor on requesting to notify 72/364 social apartments in Block XH2 and XH3 that are eligible to sell future housing.

After reviewing the records and related legal documents, the Department of Construction has the following opinions:

1. Regarding the conditions for selling available social housing:

Must comply with the conditions specified in Clause 4, Article 88 of the Housing Law 2023; including:

a) Residential areas for sale have completed investment in construction of technical infrastructure systems and social infrastructure works according to the approved detailed construction planning, design documents and project progress:

a.1) For construction of technical infrastructure works:

- Technical infrastructure outside the social housing area: Technical infrastructure works outside the XH3 social housing project include: Central Line 1 (TT1), Central Line 2 (TT2) and Central Line 3 (TT3).

For works under the authority of the Department of Construction to inspect and accept the work (road surface, sidewalk), the Department of Construction has organized inspections and issued the following Notices:

+ For Central Line 1 (TT1): The Department of Construction has issued a Notice of the results of the inspection of the completed acceptance work in Notice No. 5140/TB-SXD dated December 17, 2024.

+ For Central Line 2 (TT2): The Department of Construction has issued a Notice of the results of the inspection of the completed acceptance work in Notice No. 3836/TB-SXD dated October 8, 2024.

+ For Central Line 3 (TT3): The Department of Construction has issued a Notice of the results of the inspection of the completed acceptance work in Notice No. 5139/TB-SXD dated December 17, 2024.

For the remaining works under the authority of the Investor, the Investor shall organize the acceptance of completion on Lines TT1, TT2 and TT3:

+ Minutes of acceptance of completion of quality and quantity of products handed over to put into use the technical infrastructure of TT1 Road (phase 1B) No. 40/BBNTHT-BGĐVSD dated March 10, 2023 between the Investor, the supervision consultant and the construction contractor

+ Minutes of acceptance of completion of quality and quantity of products handed over to put into use the technical infrastructure of TT2 Road (phase 1B) No. 05.10.3/BBNTHT-BGĐVSD dated October 5, 2024 between the Investor, the supervision consultant and the construction contractor.

+ Minutes of acceptance of completion of quality and quantity of products handed over to put into use the technical infrastructure of Route TT3, 1B.01, 1B.02 (phase 1B) No. 41/BBNTHT-BGĐVSD dated March 15, 2023 between the Investor, the supervision consultant and the construction contractor.

- For construction of technical infrastructure works in social housing area (OXH1): Minutes of acceptance of completion of construction items, handover and putting into use of technical infrastructure around building XH3 No. 05.07/BBNTHT-BGĐVSD dated July 5, 2024 between the Investor, the supervision consultant and the construction contractor.

a.2) For XH3 housing block: The Department of Construction has issued Notice No. 2723/TB-SXD dated July 26, 2024 on the results of the inspection of the acceptance of the completion of the construction of social housing project XH3.

On August 28, 2024, the Investor issued Document No. 54/2024/BC-COTANA CAPITAL to the Department of Construction regarding the report on the completion of construction of block XH3 as requested by the Department of Construction in Notice No. 2723/TB-SXD dated July 26, 2024.

Project perspective

b) If the investor of a social housing construction investment project has a mortgage on the house, the mortgage must be released before selling or leasing the house, except in cases where the buyer, lessee and mortgagee agree that the mortgage does not have to be released:

The consortium of Cotana Group Joint Stock Company - Telin Group Joint Stock Company - Cotana Capital Real Estate Investment and Development Joint Stock Company has issued Document No. 107/2024/CV-COTANA CAPITAL dated August 21, 2024 on the commitment not to mortgage Social Housing XH3 in the Social Housing Area - High-rise Apartment Building OXH1 in the Thuy Van Complex Project, Phase 2, Area B - An Van Duong New Urban Area. The investor is fully responsible for the committed content.

c) Housing that meets the conditions specified in Point b and Point c, Clause 1, Article 160 of the 2023 Housing Law:

The house is not in a case of dispute, complaint, or lawsuit regarding ownership rights according to the provisions of law on dispute resolution, complaints, and denunciations and is within the housing ownership period for cases of limited-term housing ownership: The investor has sent Document No. 13/2025/CV-COTANA CAPITAL dated February 27, 2025 to the Department of Construction for commitment. The investor is fully responsible for this content.

Therefore, based on the records and documents provided by the Investor and compared with the provisions of Clause 4, Article 88; Point g, Clause 5, Article 198 of the Housing Law 2023 and the guidance of the Ministry of Construction in Official Dispatch No. 397/BXD-QLN dated January 23, 2025: 36 apartments belonging to the fund of 20% of the apartment area previously reserved for rent of the XH3 block (OXH1) of the Thuy Van Complex project, phase 2, in area B - An Van Duong New Urban Area are eligible to sell available social housing (Appendix attached).

1. Regarding the conditions for selling social housing formed in the future:

Must comply with the conditions specified in Clause 3, Article 88 of the Housing Law 2023; including:

a) Have a housing construction investment project profile, have an approved housing technical design and have a construction permit if a construction permit is required:

- Decision No. 3315/QD-UBND dated December 28, 2020 of the People's Committee of Thua Thien Hue province on approving the investment policy of the Thuy Van Complex project, phase 2, in Area B - An Van Duong New Urban Area, Thua Thien Hue province and adjusted in Decision No. 3367/QD-UBND dated December 23, 2021.

- Decision No. 80/2022/QD-COTANA CAPITAL dated August 1, 2022 of COTANA CAPITAL Real Estate Investment and Development Joint Stock Company on approving the investment project to construct the social housing area - OXH1 high-rise apartment building under the Thuy Van Complex project, phase 2, in Area B - An Van Duong New Urban Area, Thua Thien Hue province.

- Decision No. 04/2023/QD-COTANA CAPITAL dated March 17, 2023 of COTANA CAPITAL Real Estate Investment and Development Joint Stock Company on approving the adjustment of the construction investment project: Social housing area - OXH1 high-rise apartment building belonging to Thuy Van Complex project, phase 2, belonging to Area B - An Van Duong New Urban Area.

- Decision No. 111/2022/QD-COTANA CAPITAL dated October 22, 2022 of COTANA CAPITAL Real Estate Investment and Development Joint Stock Company on approving the Construction Drawing Design Documents of Blocks XH2, XH3 and Technical Infrastructure of the social housing area - High-rise apartment building OXH1 of the Thuy Van Complex project, phase 2, in Area B - An Van Duong New Urban Area.

- Decision No. 5A/2023/QD-COTANA CAPITAL dated May 26, 2023 of COTANA CAPITAL Real Estate Investment and Development Joint Stock Company on approving the adjustment of the investment project to build social housing area - OXH1 high-rise apartment building belonging to Thuy Van Complex project, phase 2, in Area B - An Van Duong New Urban Area.

- Construction permit No. 11/GPXD dated December 8, 2022 issued by the Department of Construction to the Joint Venture of Cotana Group Joint Stock Company - Telin Group Joint Stock Company - Cotana Capital Real Estate Investment and Development Joint Stock Company to construct the project: Social housing XH2, XH3 belonging to the Social housing area - High-rise apartment building OXH1 belonging to the Thuy Van Complex project, phase 2, belonging to Area B - An Van Duong New Urban Area.

b) Completed the construction of the foundation of the house in accordance with the provisions of the law on construction and completed the investment in the construction of the traffic system, water supply, drainage, domestic electricity, public lighting of the residential area for sale or lease purchase in accordance with the approved detailed construction planning, design documents and progress of the project:

b.1) For the foundation: Official dispatch No. 4923/SXD-CCGĐ dated December 27, 2023 of the Department of Construction on the inspection of acceptance work during the construction process (first time) of the Social Housing project XH2 - High-rise apartment building OXH1 in Thuy Van Complex Phase 2, in Area B - An Van Duong New Urban Area.

Currently, the Investor is organizing investment to complete the XH2 Social Housing block to organize acceptance of completion according to regulations.

b.2) For construction of technical infrastructure works:

- Technical infrastructure outside the social housing area: Technical infrastructure works outside the XH2 social housing project include: Central Line 1 (TT1), Central Line 2 (TT2) and Central Line 3 (TT3).

For works under the authority of the Department of Construction to inspect and accept the work (road surface, sidewalk), the Department of Construction has organized inspections and issued the following Notices:

+ For Central Line 1 (TT1): The Department of Construction has issued a Notice of the results of the inspection of the completed acceptance work in Notice No. 5140/TB-SXD dated December 17, 2024.

+ For Central Line 2 (TT2): The Department of Construction has issued a Notice of the results of the inspection of the completed acceptance work in Notice No. 3836/TB-SXD dated October 8, 2024.

+ For Central Line 3 (TT3): The Department of Construction has issued a Notice of the results of the inspection of the completed acceptance work in Notice No. 5139/TB-SXD dated December 17, 2024.

For the remaining works under the authority of the Investor, the Investor shall organize the acceptance of completion on Lines TT1, TT2 and TT3:

+ Minutes of acceptance of completion of quality and quantity of products handed over to put into use the technical infrastructure of TT1 Road (phase 1B) No. 40/BBNTHT-BGĐVSD dated March 10, 2023 between the Investor, the supervision consultant and the construction contractor

+ Minutes of acceptance of completion of quality and quantity of products handed over to put into use the technical infrastructure of TT2 Road (phase 1B) No. 05.10.3/BBNTHT-BGĐVSD dated October 5, 2024 between the Investor, the supervision consultant and the construction contractor.

+ Minutes of acceptance of completion of quality and quantity of products handed over to put into use the technical infrastructure of Route TT3, 1B.01, 1B.02 (phase 1B) No. 41/BBNTHT-BGĐVSD dated March 15, 2023 between the Investor, the supervision consultant and the construction contractor.

- For the construction of technical infrastructure works in the social housing area (OXH1): The investor has reported the implementation status of the construction of the technical infrastructure item (OXH1) in Document No. 05/2025/BC-COTANA CAPITAL dated February 26, 2025. The Department of Construction requests the investor to complete the technical infrastructure related to the XH2 area before putting it into operation and use.

The project model house is designed in a modern style.

c) Mortgage has been released in the case where the investor has mortgaged this house, except in the case where the buyer, lessee and mortgagee agree that the mortgage does not have to be released:

The consortium of Cotana Group Joint Stock Company - Telin Group Joint Stock Company - Cotana Capital Real Estate Investment and Development Joint Stock Company has sent Document No. 106/2024/CV- COTANA CAPITAL dated August 21, 2024 to the Department of Construction on the commitment not to mortgage the houses and land plots of Social Housing XH2 in the Social Housing Area - High-rise Apartment Building OXH1 of the Thuy Van Complex Project Phase 2, in Area B - An Van Duong New Urban Area to the Bank or any credit institution. The investor is fully responsible for the committed content.

Therefore, based on the records and documents provided by the Investor and compared with the provisions of Clause 3, Article 88; Point g, Clause 5, Article 198 of the Housing Law 2023 and the guidance of the Ministry of Construction in Official Dispatch No. 397/BXD-QLN dated January 23, 2025: 36 apartments belonging to the fund of 20% of the apartment area previously reserved for rent of the XH2 block (OXH1) of the Thuy Van Complex project, phase 2, in area B - An Van Duong New Urban Area are eligible to sell social housing formed in the future (Appendix attached).

2. Some responsibilities for the Joint Venture of Cotana Group Joint Stock Company - Telin Group Joint Stock Company - Cotana Capital Real Estate Investment and Development Joint Stock Company:

a) After the Department of Construction has this Notice, if the Investor has not yet sold the apartment, in case of mortgage of the above-mentioned social housing houses and land plots, before signing the sale and purchase contract, the Investor must release the mortgage, except in cases where the buyer and the mortgagee agree not to release the mortgage.

b) According to the provisions of Point b, Clause 1, Article 38, Decree No. 100/2024/ND-CP dated July 26, 2024 of the Government on the development and management of social housing: The Department of Construction requests that before carrying out the sale, the Investor must be responsible for reporting in writing the total number of apartments expected to be sold and the expected time to start receiving applications and start selling so that the Department of Construction knows, checks and publicly announces on the Department of Construction's Electronic Information Page within a minimum period of 30 days from the time of starting to receive applications for purchasing houses at the project.

c) After signing the Sales Contract, the Investor is responsible for compiling a complete List of subjects (including household members) who have purchased social housing and sending it to the Department of Construction for public announcement within 30 days from the date of receipt of this List and storing it for management and inspection (post-inspection) purposes as prescribed in Point g, Clause 1, Article 38 of Decree No. 100/2024/ND-CP of the Government on the development and management of social housing.

d) Implement construction items to ensure compliance with approved construction drawing design documents; issued construction permit; verified estimate; in case of adjustment to the content of approved construction drawing design documents; issued construction permit, verified estimate, the Investor must consult with residents or customers who have signed apartment purchase contracts.

d) Specify the common and private ownership items in the signed contract as prescribed in Article 142 of the 2023 Housing Law to avoid disputes over ownership and use of apartments in the future.

e) The advance payment of social housing buyers is made according to the agreement in the housing purchase contract, in accordance with the completion rate of housing construction and the approved project implementation progress, but the first advance payment must not exceed 30% of the contract value including the deposit (if any), the total amount of payments must not exceed 70% of the contract value before the house is handed over to the buyer and must not exceed 95% of the contract value before the house buyer is granted a Certificate for that house as prescribed in Point c Clause 1, Article 89 of the Housing Law 2023.

g) Publicly disclose information on real estate put into business according to the provisions of Article 6 of the Law on Real Estate Business 2023, Article 4 of Decree No. 96/2024/ND-CP of the Government and Article 38 of Decree No. 100/2024/ND-CP of the Government.

h) Perform other obligations as prescribed by law on real estate business, housing and other relevant laws.

i) The investor is fully responsible before the law for the accuracy and legality of the information, data and documents attached to the provided dossier.

The Department of Construction hereby notifies the Joint Venture of Cotana Group Joint Stock Company - Telin Group Joint Stock Company - Cotana Capital Real Estate Investment and Development Joint Stock Company to know and implement.
