The State Securities Commission has decided to impose administrative sanctions on Rang Dong Holding JSC (RDP) for violations in the field of securities and the securities market.
Accordingly, RDP was fined VND 92.5 million for failing to disclose information that must be disclosed according to legal regulations . RDP did not disclose information on the information disclosure system of the State Securities Commission and HoSE on the 2024 semi-annual financial statements (FS); disclosed information on time for the 2023 audited separate FS, 2023 audited consolidated FS, 2023 Annual Report, Explanation of audit opinions on the 2023 separate FS and consolidated FS.
In addition, RDP also published false information on the 2023 after-tax profit target on the separate financial statements prepared for the fourth quarter of 2023 and the consolidated financial statements prepared for the fourth quarter of 2023 and was fined VND 150 million. Specifically, the 2023 after-tax profit on the financial statements prepared for the fourth quarter of 2023 was VND 17.3 billion, but the 2023 after-tax profit on the separate financial statements for the 2023 audited was -117.6 billion VND. The 2023 after-tax profit on the consolidated financial statements prepared for the fourth quarter of 2023 was VND 26 billion, but the 2023 after-tax profit on the audited consolidated financial statements for the 2023 was -146.7 billion VND.
For this violation, RDP is forced to cancel information or correct information for the act of publishing false information.
The total fine that RDP must pay for the above violations is 242.5 million VND.
Not only RDP, another enterprise, Dong Nai Traffic Construction Joint Stock Company (DGT), was also punished similarly for violating information disclosure.
Specifically, DGT announced incorrect information about the 2023 profit after corporate income tax figures in the 4th quarter 2023 separate financial statements and the 4th quarter 2023 consolidated financial statements compared to the 2023 profit after corporate income tax figures in the 2023 audited separate financial statements and the 2023 audited consolidated financial statements.
According to the Separate Financial Report for the fourth quarter of 2023, the profit after corporate income tax was VND 1.9 billion; according to the Consolidated Financial Report for the fourth quarter of 2023, the profit after corporate income tax was -VND 8.9 billion. However, according to the audited Separate Financial Report for 2023, DGT's profit after corporate income tax was -VND 5.1 billion; according to the audited Consolidated Financial Report for 2023, the profit after corporate income tax was VND 88.3 billion.
DGT was fined 150 million VND for the above act and forced to cancel information or correct false information.
Along with that, DGT was fined an additional 92.5 million VND for not disclosing information that must be disclosed according to legal regulations.
DGT does not disclose information on the following documents: Report on the implementation of commitments of the issuing enterprise to bondholders in 2022, Report on the use of proceeds from bond issuance for outstanding bonds in 2022, Report on the implementation of commitments of the issuing enterprise to bondholders in the first 6 months of 2023, Report on the use of proceeds from bond issuance for outstanding bonds in the first 6 months of 2023.
DGT also disclosed information not on time as prescribed by law on the following documents: Audited separate financial statements for 2022, Audited consolidated financial statements for 2022, Annual report for 2022, Report on corporate governance situation for the second quarter of 2023, Separate financial statements for the second quarter of 2023, Consolidated financial statements for the second quarter of 2023, Audited separate financial statements for the second quarter of 2023, Audited consolidated financial statements for the second half of 2023, Information disclosure on signing the audit contract for 2023, Authorization document No. 25/2024/UQ-CBTT dated March 14, 2024 on changing the person authorized to disclose information, Report on the use of proceeds from bond issuance for outstanding bonds in 2023.
