Mr. Tran Quoc Tan, 61 years old, chairman of the board of directors of Tan Tan Company, was accused of two crimes: "failure to comply with the judgment" and "tax evasion", according to the first instance trial held by the People's Court of Di An City, Binh Duong Province on September 30.

Also on trial with Mr. Tan is his younger brother, Tran Quoc Tuan, 56 years old, a member of Tan Tan Company. Mr. Tuan is being tried for "failure to comply with the judgment".

In court, when questioned, Mr. Tan denied that he had evaded taxes. He explained that 10 years ago, Tan Tan Company was not operating so he rented out the factory.

At that time, there was no accountant so he did the tax report himself, but his lack of knowledge led to errors. After receiving the tax assessment notice 1 day, Mr. Tan immediately paid the missing tax amount.

Regarding the non-compliance with the judgment, Mr. Tan stated that he had previously been summoned by shareholders to an extraordinary general meeting of shareholders and removed from the position of Chairman of the Board of Directors, so he was no longer qualified to execute the judgment. The trial panel considered that Mr. Tan's testimony was inconsistent.

Regarding the purchase of shares of Tan Tan Company from Ms. Thanh (a woman in Ho Chi Minh City), Mr. Tan said it was just a "fake contract to borrow money". But Ms. Thanh wanted to take over the company, so Mr. Tan "did not accept it, wanted to fight to the end".

In court, Ms. Thanh's representative said that many "unusual" payment vouchers were discovered for individuals at the company. This shows signs of "embezzlement" and needs to be clarified.

The court has returned the case file for further investigation to clarify many issues. Notably, the court requested clarification of the responsibility of Mr. Tan’s wife, Ms. Chau Ngoc Phung, for not complying with the judgment. According to the court, at the time of serving the judgment, Ms. Phung was still a member of the Board of Directors of Tan Tan Company.

The court also requested clarification of the responsibilities and roles of 10 other people who showed signs of complicity in the act of "tax evasion". Clarification of the difference in the amount of money for renting the factory, the legality of the financial report, clarification of the tax declaration on personal income of Mr. Tan, Mrs. Phung and Mr. Tuan...

Tan Tan Company owns a famous peanut brand.

Tan Tan Joint Stock Company is headquartered in Binh An Ward, Di An City, and was first registered in 2007. The company's main business is processing and manufacturing agricultural products and peanuts of all kinds. Mr. Tan holds 80% of the shares. Mr. Tan's wife and his younger brother each hold 10% of the shares.

In 2011, Mr. Tan transferred more than 45.8% of shares at Tan Tan Company to a woman in Ho Chi Minh City and the company issued a certificate of share ownership to the above female shareholder.

The 2018 verdict of the People's Court of Binh Duong province forced the board members of Tan Tan Company to convene an extraordinary general meeting of shareholders to re-elect members of the company's board of directors, allowing female shareholders to review and extract the minutes, resolutions of the board of directors, and the company's financial statements.

According to the indictment, Mr. Tan and his younger brother did not comply with the legally effective judgment. Currently, Mr. Tan and his younger brother are prevented from leaving their place of residence.
