FLC Group has promised to submit its audited financial report for 2021 before May 26th.

According to a document recently sent by FLC Group to the State Securities Commission, the company had previously planned to publish its audited financial statements for 2021 before April 30th. UHY Auditing and Consulting Co., Ltd. had drafted FLC's 2021 financial statements. However, to reach a consensus on the audit opinion, UHY and FLC are undertaking additional procedures to establish a suitable audit opinion. Therefore, the official audit report will be published within three days of reaching an agreement and no later than May 25th.

FLC has promised to submit its audited financial statements for 2021 in May.

At the same time, FLC Group commits to expeditiously completing and publishing its 2021 annual report within 20 days of the publication of the audited 2021 financial statements.

Following the approval of the audited financial statements and the 2021 annual report, the Board of Directors of FLC Group will convene the 2022 Annual General Meeting of Shareholders, tentatively scheduled for August 2023. At this meeting, the Board of Directors will present to shareholders for approval the selection of an auditing firm for the 2022 financial statements.

FLC will then work with an auditing firm to produce the audited financial report for 2022, expected in November 2023.

The delay in publishing the 2021 financial report, despite repeated reminders and warnings, was the direct cause of FLC's delisting from the Ho Chi Minh City Stock Exchange. Subsequently, FLC shares were registered for trading on UPCoM, but due to the failure to rectify the information disclosure violations, trading was suspended again.

At the same time, FLC has not yet published its audited semi-annual financial report for 2022, its Q4/2022 financial report, or held its 2022 annual general meeting of shareholders. The delay in publishing financial reports is due to FLC's inability to find an auditing firm willing to conduct an audit after former Chairman Trinh Van Quyet was arrested on March 29, 2022.
